Welcome to EquiAudit LLC. These Terms and Conditions govern your use of our website and our healthcare AI auditing services. By accessing our platform or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

This website www.equiaudit.com (the “Site”) is owned and operated by EquiAudit LLC (“us”, “we”, or “our”). This Site gives you the opportunity to browse and purchase products and services offered by EquiAudit LLC. By using the Site, you agree to be bound by these Terms of Service and to use the Site in accordance with these Terms of Service, our Privacy Policy and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from EquiAudit LLC. These Terms constitute the entire and only agreement between you and us and supersedes all prior agreements, conduct, representations and understanding. EquiAudit LLC products and services are intended for people aged over 18 and over.

Accessing the Site, in any manner, whether automated or otherwise, including downloading or using the products and services offered on our Site constitutes use of the Site and your agreement to be bound by these Terms of Service, which you acknowledge that you have read and understood.

We reserve the right to change these Terms of Service or to impose new conditions on use of the Site, from time to time, in which case we will post the revised Terms of Service on this website. By continuing to use the Site after we post any such changes, you accept the Terms of Service, as modified. These terms are important and you should ensure that you read them carefully before using the remainder of the Site and contact info@equiaudit.com if you have any questions before purchasing our products or services or engaging our services.

1. Services Provided

EquiAudit LLC provides independent healthcare AI equity auditing services, including but not limited to Geographic Equity Intelligence Profiles, Equity Screening, Full Equity Audits, and Ongoing Monitoring. Our findings are based on independent expert assessment and are intended to provide evidence for health organizations to ensure equitable AI performance.

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

2. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, methodology descriptions, audit methodologies, framework documents, assessment tools, report templates, graphics, and logos, is the proprietary intellectual property of EquiAudit LLC and is protected by applicable copyright, trademark, and intellectual property laws.

The EquiAudit assessment methodology, seven-domain framework, Equity Scorecard, AI Deployment Equity Risk Rating system, and associated tools are proprietary to EquiAudit LLC. No part of the methodology or associated materials may be reproduced, distributed, adapted, or used without the express written permission of EquiAudit LLC.

EquiAudit LLC retains all rights to pre-existing and independently developed intellectual property brought to any client engagement. Client-specific deliverables produced under a signed engagement agreement are governed by the terms of that agreement.

3. Liability and Disclaimers

EquiAudit LLC provide professional assessments based on clinical and technical expertise. However, we do not guarantee that the use of our services will eliminate all legal or regulatory risks associated with healthcare AI deployment. We shall not be liable for any indirect or consequential damages arising from the use of our findings.

We take care in creating the information and materials on this Site but make no warranties or representations regarding the accuracy, completeness, quality or fitness for purpose of any material or content. Throughout the Site, we may provide links and pointers to Internet sites maintained by third parties. Our linking to such third-party sites does not imply an endorsement or sponsorship of such sites, or the information, products or services offered on or through the sites. In addition, neither we nor affiliates operate or control in any respect any information, products or services that third parties may provide on or through the Site or on websites linked to by us on the Site. If applicable, any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, are those of the respective authors or distributors, and not EquiAudit LLC. Neither EquiAudit LLC nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content. Furthermore, EquiAudit LLC neither endorses nor is responsible for the accuracy and reliability of any opinion, advice, or statement made on any portion of the Site by anyone other than an authorized EquiAudit LLC representative while acting in his/her official capacity.

You agree at all times to defend, indemnify and hold harmless EquiAudit LLC its affiliates, their successors, transferees, assignees and licensees and their respective parent and subsidiary companies, agents, associates, officers, directors, shareholders and employees of each from and against any and all claims, causes of action, damages, liabilities, costs and expenses, including legal fees and expenses, arising out of or related to your breach of any obligation, warranty, representation or covenant set forth herein. We are not responsible for, and expressly disclaim all liability to the fullest extent permitted by law, for damages of any kind arising out of use, reference to, or reliance upon any information contained within our Site, EquiAudit LLC community or through use of our products or services.

You agree that EquiAudit LLC shall not be responsible or liable for any loss, damage, or other matters of any sort incurred as the result of such dealings.

Currency

Services are billed in USD unless an alternative currency is agreed in writing between the parties prior to engagement.

Refund Policy

Fees for professional services engagements are governed by the terms of the individual engagement agreement signed between EquiAudit LLC and the commissioning organisation. In the absence of a specific engagement agreement, requests for refund or cancellation should be directed to info@equiaudit.com and will be assessed on a case-by-case basis at the sole discretion of EquiAudit LLC.

LIMITATION ON LIABILITY

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL OR INCONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE, INCLUDING ITS MATERIALS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE SITE, ANY MATERIALS, PRODUCTS, OR SERVICES ON THE SITE, OR WITH ANY OF THE SITE’S TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND THE PRODUCTS, SERVICES AND/OR MATERIALS. THIS SITE IS CONTINUALLY UNDER DEVELOPMENT AND COMPANY MAKES NO WARRANTY OF ANY KIND, IMPLIED OR EXPRESS, AS TO ITS ACCURACY, COMPLETENESS OR APPROPRIATENESS FOR ANY PURPOSE.

THE USER acknowledges and agrees that no representation has been made by EquiAudit LLC OR ITS AFFILIATES and relied upon as to the future income, expenses, sales volume or potential profitability that may be derived from the participation in or purchase of any product or service on this SITE.

4. Professional Services - Independent Assessment Limitation

EquiAudit LLC provides independent professional assessment services. All assessments, reports, findings, and recommendations produced by EquiAudit LLC are based on the evidence reviewed and documentation available at the time of engagement. EquiAudit LLC's assessments and reports do not constitute legal advice, medical advice, regulatory compliance certification, or a guarantee of any specific outcome. No assessment produced by EquiAudit LLC should be construed as a legal opinion or as a determination of regulatory compliance. Organizations should seek qualified legal counsel for compliance determinations.

Deployment decisions regarding any AI system assessed by EquiAudit LLC, and all risks associated with those decisions, remain the sole responsibility of the commissioning organisation. EquiAudit LLC does not make deployment decisions on behalf of any organisation and accepts no liability for decisions made in reliance upon its assessments. EquiAudit LLC's assessments reflect conditions at the time of engagement. They are not valid indefinitely and should be reviewed when material changes occur to the AI system under assessment, the deployment environment, the vendor's practices, or applicable regulatory frameworks. To the fullest extent permitted by applicable law, EquiAudit LLC's total liability in respect of any engagement, assessment, or report is limited to the total fees paid by the commissioning organisation for that specific engagement.

Confidentiality

Your submission of personal information through the store is governed by our Privacy Policy. To view our Privacy Policy. We reserve the right to refuse any request for service.

DISPUTE RESOLUTION

If a dispute arises between the parties in relation to these Terms, the dispute must be dealt with in accordance with this clause and any party claiming that a dispute exists must notify the other party to the dispute (Second Party) in writing of the nature of the dispute. In the case of claims against us, all notices are to be sent to info@equiaudit.com.

If the dispute is not resolved by agreement within twenty (20) business days of the Second Party receiving the notice referred to above, either party may refer the matter to mediation conducted by a mediator agreed between the parties within ten (10) business days. Once a mediator is appointed, the parties agree that:
• The costs of the mediator shall be borne equally between the disputing parties.
• The chosen mediator shall determine the procedures for mediation.
• The chosen mediator will not have the power or authority to make any other determination in relation to the dispute.

If the parties have not mediated a resolution of the dispute within ten (10) business days of the selection of a mediator, neither party shall be obliged to continue any attempt at mediation under this clause, and either party may then commence such legal proceedings as it considers fit in relation to the dispute. Nothing in this clause prevents a party from commencing proceedings seeking urgent interlocutory relief from a court or tribunal of competent jurisdiction to hear the matter, if, in that party’s reasonable opinion, it is necessary to protect their rights. Despite the existence of a dispute the parties must continue to comply with their obligations under the agreement. This clause survives termination of these Terms.

Other

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under the U.S. copyright law. If you believe in good faith that materials hosted by EquiAudit LLC infringe your copyright, you, or your agent may send to EquiAudit LLC a notice requesting that the material be removed or access to it be blocked. Any notification by a copyright owner or a person authorized to act on its behalf that fails to comply with requirements of the DMCA shall not be considered sufficient notice and shall not be deemed to confer upon EquiAudit LLC actual knowledge of facts or circumstances from which infringing material or acts are evident. If you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send to EquiAudit LLC a counter-notice. All notices and counter notices must meet the then current statutory requirements imposed by the DMCA; see http://www.loc.gov/copyright for details. EquiAudit LLC Copyright Agent for notice of claims of copyright infringement or counter notices can be reached as follows: info@equiaudit.com.

This Agreement shall be binding upon and inure to the benefit of EquiAudit LLC and our respective assigns, successors, heirs, and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of EquiAudit LLC. Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by EquiAudit LLC to any affiliated entity or any of its wholly owned subsidiaries.

These Terms of Use shall be governed by and construed in accordance with the state of Nevada. For engagements with UK-based organisations, these Terms shall be governed by the laws of England and Wales. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
